1. Scope

This proposal defines the full scope, deliverables, and responsibilities for the project. Anything not explicitly listed is out of scope. Requests that change structure, functionality, or creative direction are handled as Change Requests: we’ll send a written estimate of cost and timeline impact, and work on them begins only after written approval.

2. Process & Approvals

The project runs in the phases set out in the timeline. Each phase requires written approval (email is sufficient) before the next begins. If we receive no feedback within 5 business days of a delivery, that phase is considered approved.

3. Revisions

Each phase includes the number of revision rounds specified in the timeline. A round is one consolidated set of feedback on the delivered work, sent by a single point of contact. New directions, added pages or features, and changes to previously approved phases count as Change Requests, not revisions.

4. Ownership & Files

Ownership of final deliverables transfers to the client on receipt of full payment. Until then, all work remains the property of 021 Studio. Working files, drafts, and unused concepts remain ours unless agreed otherwise. We may show the project in our portfolio unless confidentiality is agreed in writing.

5. Timeline & Client Responsibilities

The timeline depends on timely feedback, content, and access from the client. Delays on the client side shift the timeline accordingly. If the project is inactive for more than 30 business days due to client delays, it is placed on hold. Resuming it is subject to our availability and may involve a restart fee.

6. Cancellation

Either party may end the project with written notice. The client pays for all work completed up to that point, and any payments already made for completed phases are non-refundable. If cancelled mid-phase, that phase is billed in proportion to the work done.

7. Fees & Payment

Invoices must be settled within 5 days of issuance unless otherwise agreed.

Project work begins only after the first payment is received. Delays in feedback, approvals, or payment may impact the project timeline.

Third-party costs (fonts, stock imagery, plugins, hosting, licences) are not included and are billed at cost or purchased directly by the client.

* Alternatively, pay 100% on signature and receive 10% off the total fee.

8. Validity

This proposal is valid for 5 business days from the date of issue.
